Found this first thing this morning:

In a saga which (publicly) began in December last year and has seen Pentax fighting Hoya's approaches on various fronts including the resignation of their president Fumio Urano last month and talk of selling its headquarters in Tokyo looks to be finally coming to an end. According to numerous reports Pentax's board of directors has today approved the deal and the merger will go ahead next month. Additionally Pentax's board members have agreed to resign after the Hoya takeover goes through.

Here are a couple of fresh reports:

IMO, they should probably reinstate the president who led them back to profitability and backed the K series Dslrs. Since he was in favor of the merger, he might have more leverage with Hoya.

If the report is true, that the guy leading the camera division will be President of the new Pentax, then maybe there will continue to be room for growth in the DSLR lens end of the business. Every report I've read about this over the past few months has said that Hoya was in it for the medical business, and made no mention of the camera business.
