Well, the Canon is a dSLR -- so you get

(1) ability to change lenses (and access to the great line of Canon EF lenses)

(2) more accurate (and "through-the-lens") viewfinder

(3) faster burst modes

(4) MUCH less noise at higher ISO

The Sony is an 8MP "prosumer" with a 28-200 lens. You get

(1) Electronic features (like night shot mode, ability to take movies, in camera modification, etc)

(2) Less expensive with a good, stationary lens (but not that ability to switch lenses)

(3) Overall, smaller and lighter than 350D (with a lens attached)

Are you going to spend time editing your pictures on a computer (which is almost a requirement from a dSLR output)? Are you going to shoot in manual mode? Are you going to shoot a lot in low light situations? Will you need really long lenses for shooting things like sports or wildlife? Do you need a really wide lens to shoot long landscapes? Do you want the ability to change lenses? If so, then go for the Canon.

Will you be operating more in automatic modes? Do you want the ability to shoot video? Do you want something much more portable? Is cost the primary factor? Are you interested in on-board modifications (like night shot, or sepia, etc?) Then go for the sony.

Before you spend the money on the 350D use it or try it first I was browsing compusa and saw it so I checked it out. It is small so you should make sure that it is what you want. I was going to go with the new rebel for my next camera but the 20D is now the only upgrade path for me due to its size if I was to put my 70-200 F2.8L Lens on the XT(350D) It would feel like it would break under the weight.
